Halvex Logistics LLCis a licensed freight broker that arranges for the transportation of freight by connecting shippers with qualified third-party carriers. We do not own or operate the trucks, trailers, or other transportation equipment used to carry your freight. Our services include Full Truckload (FTL), Less-Than-Truckload (LTL), Expedited Freight, Intermodal Shipping, Warehousing & Distribution, and Cross-Border Logistics, as further described on our website.

2. Use of Website

You agree to use our website only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the website in any manner that could damage, disable, or impair the site
• Attempt to gain unauthorized access to any part of the website or our systems
• Use automated means to scrape, crawl, or extract data from the website
• Transmit any unsolicited or unauthorized advertising or promotional material
• Violate any applicable federal, state, or local laws or regulations

3. Quotes and Pricing

All freight quotes provided by Halvex Logistics LLC are estimates based on the information you provide at the time of the request. Final pricing may vary based on actual shipment weight, dimensions, freight class, accessorial charges, or changes in market conditions. Quotes are valid for the period specified at the time of issuance. We strive to provide transparent, all-in pricing with no hidden fees; however, additional carrier charges (e.g., detention, re-delivery) that arise during transit are the responsibility of the shipper.

4. Shipment Information

You are responsible for providing accurate and complete shipment information, including but not limited to: commodity description, weight, dimensions, freight class, packaging type, and any special handling requirements. Inaccurate shipment information may result in additional charges, delays, or liability for damages. You warrant that all freight tendered for shipment complies with all applicable laws and regulations, including those governing hazardous materials.

5. Payment Terms

Payment terms are established at the time of service engagement. Standard payment options include ACH bank transfer, credit card, and net-30 credit terms for qualified accounts. Invoices are due upon receipt unless otherwise agreed in writing. Late payments may be subject to interest charges. We reserve the right to suspend services for accounts with past-due balances.

6. Limitation of Liability

Halvex Logistics LLCacts solely as a freight broker and is not liable as a carrier for loss, damage, or delay of freight. Our liability, if any, is limited to the broker's fee paid for the specific shipment giving rise to the claim. In no event shall Halvex Logistics LLC be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or related to our services, even if we have been advised of the possibility of such damages.

7. Insurance

All carriers in our network are required to maintain minimum insurance coverage as required by the FMCSA. The carrier's cargo liability coverage applies to your freight during transit. We strongly recommend that shippers obtain additional cargo insurance for high-value or sensitive shipments.Halvex Logistics LLC can assist in arranging excess cargo coverage through our insurance partners upon request.

8. Cancellation and Changes

Shipment cancellations or changes must be communicated to your account manager as early as possible. Cancellations made after a carrier has been dispatched may result in cancellation fees charged by the carrier, which will be passed through to the shipper. Route or delivery changes after pickup may incur additional charges and transit time adjustments.

9. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Halvex Logistics LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on our website without our express written permission.

10. Third-Party Links

Our website may contain links to third-party websites or resources. These links are provided for your convenience only. We have no control over the content, privacy practices, or terms of those sites and are not responsible for any loss or damage that may arise from your use of them. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Ramsey County, Minnesota.
